TERMS Of SERVICE

These Terms of Service (the "Terms") constitute a legally binding agreement between you and WOMi Technologies Inc. ("WOMi," "we," "us," or "our") governing your use of the WOMi user application (the "Application") and related services (collectively, the "Services").
ACCEPTANCE OF TERMS
By downloading, installing, accessing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.
SERVICE DESCRIPTION
2.1. Platform Overview. The Application is a promotional platform connecting users with local businesses offering rewards and incentives. The Services enable users to discover promotions, earn rewards, engage with businesses, and share experiences.
2.2. Service Limitations. WOMi acts solely as a platform facilitating connections between users and businesses. We do not own, operate, endorse, or control any of the businesses listed on the platform.
ACCOUNT REGISTRATION AND SECURITY
3.1. Account Creation. To use the Services, you must create an account using either an email address or through third-party authentication services such as Google or Facebook. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2. Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify WOMi of any unauthorized use of your account or any other breach of security.
3.3. Social Features. The Services include social features allowing you to follow businesses and users, share promotions, participate in discussions, send messages, and provide feedback. You agree to use these features in accordance with these Terms and applicable laws.
REWARDS AND TRANSACTIONS
4.1. Reward Structure. The Services implement a dual reward system: (a) Direct rewards earned through promotion redemption (b) Referral rewards earned when shared promotions are successfully redeemed by others
4.2. Reward Conditions. All rewards are subject to verification and may be withheld, reversed, or cancelled under the following circumstances: (a) Refund or cancellation of the original transaction (b) Detection of fraud or abuse (c) Business dispute of the transaction (d) Violation of platform policies (e) Multiple claims on a single referral (f) Suspicious activity (g) Breach of these Terms
4.3. Cash Withdrawals. Verified rewards may be withdrawn to verified debit cards through our payment processor, Stripe, subject to: (a) Verification procedures (b) Processing times (c) Security reviews (d) Stripe's terms of service
4.4. Store Credits. Business-specific store credits are: (a) Managed solely by the issuing business (b) Subject to business-specific terms and policies (c) Non-transferable unless explicitly permitted by the business (d) Subject to expiration as set by the business
USER SAFETY AND CONDUCT
5.1. Personal Responsibility. Users assume full responsibility for their personal safety when interacting with businesses and other users through the Services. Users should exercise appropriate caution and conduct independent verification of businesses.
5.2. Business Compliance. Users must comply with all business-specific requirements, including but not limited to: (a) Age restrictions (b) Purchase requirements (c) Promotional terms (d) Store policies (e) Conduct requirements
5.3. Reporting Obligations. Users should report suspicious or concerning activity through the Application's reporting tools and, when appropriate, to relevant authorities.
ACCEPTABLE USE
Users agree not to:
6.1. Engage in fraudulent or deceptive practices
6.2. Manipulate platform features
6.3. Harass or harm other users
6.4. Share false or misleading information
6.5. Create multiple accounts for abusive purposes 6.6. Interfere with platform operations
6.7. Circumvent platform restrictions
CONTENT AND INTELLECTUAL PROPERTY
7.1. User Content License. By posting content through the Services, you grant WOMi a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform such content in connection with the Services.
7.2. External Sharing. When sharing content outside the platform: (a) You retain control over initial sharing (b) WOMi is not responsible for externally shared content (c) Shared content may be accessible to anyone with access to the link (d) External platform terms may apply
LOCATION SERVICES AND DATA
8.1. Location Requirements. Certain features of the Services require access to device location services. Users acknowledge and agree that: (a) Location data is essential for core functionality of the Services (b) Location data may include GPS, Bluetooth, and WiFi access point information (c) Location data is collected only when the Application is in use, unless background access is explicitly enabled (d) Location permissions are controllable through device settings (e) Location data collection adheres to our Privacy Policy
8.2. Location Usage. Location data is used to: (a) Display nearby promotions (b) Verify promotion redemptions (c) Provide location-based features (d) Improve our Services
8.3. Location Restrictions. Users understand that: (a) Disabling location services may limit Application functionality (b) Certain features may be unavailable without location access (c) Location accuracy may vary based on device settings and capabilities (d) Location services may affect device battery life
THIRD-PARTY SERVICES AND APP STORE TERMS
9.1. App Store Compliance. The Application is distributed through third-party application stores ("App Providers"). You acknowledge and agree that: (a) These Terms are between you and WOMi, not with the App Providers (b) App Providers have no obligation to provide maintenance or support services (c) App Providers are not responsible for addressing any claims relating to the Application (d) App Providers are not responsible for product warranty claims (e) App Providers are third-party beneficiaries of these Terms
9.2. Apple-Specific Terms. If you downloaded the Application from Apple's App Store: (a) You may only use the Application on an Apple-branded device (b) Apple has no obligation to provide any maintenance or support services (c) In the event of any failure of the Application to conform to warranties, you may notify Apple, and Apple will refund your purchase price for the Application (d) Apple is not responsible for addressing any claims relating to the Application (e) Apple is not responsible for investigating, defending, settling, or discharging any third-party intellectual property infringement claims related to the Application (f) You must comply with all applicable third-party terms when using the Application (g) Apple and its subsidiaries are third-party beneficiaries of these Terms
9.3. Google Play Terms. If you downloaded the Application from Google Play: (a) You must comply with Google Play's terms of service (b) Google Play's terms and policies apply to the Application's distribution (c) Google has no obligation to provide support or maintenance services
9.4. Payment Processing. Payment services within the Application are provided by Stripe, subject to Stripe's terms of service.
SERVICE AVAILABILITY AND MODIFICATIONS
10.1. Service Interruptions. The Services may be unavailable due to: (a) Technical maintenance (b) System upgrades (c) Network issues (d) Force majeure events
10.2. Modifications. WOMi reserves the right to modify the Services at any time, including: (a) Features and functionality (b) User interface (c) Operational requirements (d) Reward structures
TRANSACTION DISPUTES
11.1 Dispute Resolution. In the event of transaction disputes: (a) Businesses maintain primary authority over refunds (b) Refunds may trigger reward reversals (c) Both direct and referral rewards may be affected (d) WOMi reserves investigation rights (e) Documentation may be required
11.2. Resolution Process. During dispute resolution: (a) Rewards may be held (b) Withdrawals may be suspended (c) Investigation may be conducted (d) Documentation may be requested (e) Resolution timeline varies by case
DISCLAIMERS AND LIMITATIONS
12.1. Platform Role. WOMi expressly disclaims: (a) Ownership or operation of listed businesses (b) Verification of all business claims (c) Guarantee of promotion fulfillment (d) Responsibility for business conduct (e) Endorsement of specific businesses
12.2. Age and Purchase Restrictions. Businesses maintain sole responsibility for: (a) Age verification (b) Purchase requirements (c) Restriction enforcement (d) Policy compliance
12.3. Limitation of Liability. WOMi shall not be liable for: (a) Business conduct or misconduct (b) Promotion fulfillment (c) Quality of goods or services (d) Business representations (e) User-business disputes (f) Store credit issues (g) Personal injuries (h) Property damage (i) Lost or stolen items (j) Business closures (k) Changed promotions (l) Service interruptions

MODIFICATIONS TO TERMS
WOMi reserves the right to modify these Terms at any time. Users will be notified of material changes through the Application or via email. Continued use of the Services following such notifications constitutes acceptance of the modified Terms.
By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
