Plain-language summary (the full Terms below control): WOMi is a technology platform — we are not a bank, money transmitter, or party to deals between businesses and consumers. Payments and payouts are handled by Stripe. Paid business plans renew automatically until you cancel, and you can cancel anytime. These Terms include an arbitration agreement and a class-action waiver (Section 14), which you may opt out of within 30 days.
These Terms of Service ("Terms") are a legally binding agreement between you and WOMi Technologies Inc. ("WOMi," "we," "us," or "our"), governing your use of the WOMi platform, including the website at womiapp.com (the "Web Platform"), the WOMi mobile applications for iOS and Android (the "Mobile Apps"), and all related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to that entity. The Service is intended for users in the United States; you are responsible for compliance with local laws if you access it from elsewhere.

WOMi is a word-of-mouth marketing platform that connects consumers with local service businesses. The Service includes:
WOMi is a technology platform that facilitates connections between businesses and consumers. We are not a party to, and are not responsible for, the underlying transactions, goods, or services that businesses provide to consumers. Features may vary between platforms, and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
WOMi offers the following subscription tiers for business accounts:
Consumer accounts are always free; consumers earn rewards through deal redemptions and referrals at no cost to them.
New business accounts begin with a 30-day free trial of the selected paid plan, no credit card required to start. When the trial ends, your subscription automatically continues as a paid plan at the then-current rate ($39/month for Starter or $79/month for Growth) and renews automatically each month until you cancel. We will send a reminder before your trial converts to a paid charge. You may cancel at any time — before or after the trial — from Settings › Billing in your dashboard (which opens the Stripe billing portal) or by contacting us at info@womiapp.com; cancellation stops future renewals and takes effect at the end of the current billing period.
Business subscriptions are billed monthly through Stripe Billing. By subscribing to a paid plan, you authorize WOMi (via Stripe) to charge your payment method on a recurring basis until you cancel.
WOMi uses QR codes and unique links to facilitate deal redemption and referral tracking. By using the QR code system, you agree to:
Businesses are responsible for verifying redemptions before confirming them. WOMi is not liable for redemptions that a business confirms in error.
Consumers may earn cashback or store-credit rewards by claiming and redeeming deals and by referring new customers. Reward amounts are set and funded by the business creating the deal.
Store-credit rewards are closed-loop: they are redeemable only with the specific business that issued them, are not redeemable for cash, are non-transferable, and may be subject to expiration or other conditions set by the issuing business. Store credit is not a gift card or stored-value instrument issued by WOMi.
WOMi does not charge a platform fee on redemption rewards. Consumers receive the full cashback or store-credit amount the business funded for the deal. WOMi's revenue comes from business subscriptions (Section 4) and the 1% instant-payout fee disclosed in Section 6.1.
The WOMi "wallet" is a record of rewards earned and payable to you, and of funds a business has allocated to fund deals. It is not a bank account, deposit account, or stored-value account, it does not earn interest, and it is not insured. WOMi is not a bank, money transmitter, or money services business. All movement of funds — business deposits, reward payouts, and withdrawals — is processed and custodied by Stripe and its banking partners, not by WOMi. You acknowledge that wallet balances reflect amounts handled by Stripe on your behalf and are subject to Stripe's terms and processing times.
We may reverse, deduct, withhold, or cancel a reward or wallet balance if a redemption is reversed, disputed, or charged back; if it was earned through fraud, error, abuse, or a violation of these Terms; or if a funding payment is reversed. If a reward has already been paid out, you agree to repay the amount on request.
All payments are processed through Stripe. By using payment features of the Service, you also agree to Stripe's Terms of Service. WOMi is not responsible for errors or delays caused by Stripe or your financial institution.
The Growth subscription tier includes AI-powered features such as deal suggestions and marketing insights, powered by third-party AI providers (currently Google's Gemini models). By using AI features, you acknowledge and agree that:

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.
The Service, including its design, code, branding, logos, and content (excluding user-generated content), is owned by WOMi Technologies Inc. and protected by copyright, trademark, and other intellectual property laws.
You retain ownership of content you create on the Service (including deal descriptions, business profiles, share / referral messages, and imagery uploaded for redemptions or proof of purchase). You are responsible for your content and represent that you have the rights to it. By posting content, you grant WOMi a non-exclusive, worldwide, royalty-free license to use, host, reproduce, display, and distribute that content in connection with operating and promoting the Service.
If you send us feedback or suggestions, you grant WOMi a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
You may not use WOMi trademarks, logos, or branding without our prior written consent, except as necessary to participate in the referral program (such as sharing WOMi-generated referral links and QR codes).
The Service relies on third-party providers — including Stripe (payments and payouts), Supabase (authentication and database), Vercel (hosting), and providers for email, SMS, analytics, error monitoring, bot protection, mapping, and AI. Your use of certain features may be subject to those providers' own terms. WOMi is not responsible for the acts, omissions, availability, or content of third-party services, and links to third-party sites are provided for convenience only.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WOMI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WOMi does not guarantee that any deal, reward, or referral will result in a specific outcome.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOMI TECHNOLOGIES INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO WOMI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above exclusions and limitations may not apply to you.
You agree to defend, indemnify, and hold harmless WOMi Technologies Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your content, deals, or business practices; (c) your messages or communications to customers (including SMS and email); (d) your violation of these Terms or any law or third-party right; or (e) a dispute between a business and a consumer. WOMi may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles, and (for the arbitration provisions) the Federal Arbitration Act.
Before starting arbitration, you agree to first contact us at info@womiapp.com with a written description of the dispute and give us 30 days to resolve it informally. Many disputes can be resolved this way.
If we cannot resolve a dispute informally, any dispute arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, seated in Sacramento County, California. The arbitrator's decision is final and binding. You and WOMi each waive the right to a jury trial.
Disputes will be resolved on an individual basis only. You and WOMi waive any right to participate in a class, consolidated, or representative action or class-wide arbitration.
You may opt out of this arbitration agreement (Sections 14.3 and 14.4) by emailing info@womiapp.com with your name and account email and the statement that you opt out of arbitration, within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
Either party may bring an individual claim in small-claims court, and either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.
You may terminate your account at any time by deleting it through your account settings or by contacting us at info@womiapp.com.
We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to a violation of these Terms.

By creating an account, you consent to receive communications from us electronically — including transactional emails (such as receipts, reward and account notifications, and legal notices) — and you agree that electronic communications satisfy any legal requirement that such communications be in writing. We send marketing emails only where permitted, and you can opt out of them at any time. SMS messages are sent only where you or the relevant business has provided the necessary consent.
These Terms, together with the Privacy Policy, are the entire agreement between you and WOMi regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them, including in connection with a merger, acquisition, or sale of assets. We are not liable for any failure or delay caused by events beyond our reasonable control (force majeure). The English version of these Terms controls. Section headings are for convenience only.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you through the Service or by email.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and close your account.
